Terms of Service

1. Acceptance of Terms

By accessing or using the Receiv-r platform at www.receiv-r.co.uk, creating an account, or purchasing a subscription, you agree to be bound by these Terms of Service. If you do not agree, you must not use the platform.

These terms constitute a legally binding agreement between you (the user) and Receiv-r Ltd. References to ‘we’, ‘us’, or ‘our’ mean Receiv-r Ltd.

2. The Service

Receiv-r provides a subscription-based SaaS platform that monitors public UK Companies House filings to identify property companies entering insolvency proceedings, including administration, receivership, and liquidation. The platform surfaces asset addresses, insolvency practitioner details, and AI-generated outreach drafts.

2.1 Data Sources

All data displayed on Receiv-r is sourced from public UK filings made to Companies House and other publicly available registers. Receiv-r is not affiliated with, endorsed by, or connected to Companies House, HM Land Registry, or any government body.

Property ownership, title and price information is derived from HM Land Registry datasets: the Commercial and Corporate Ownership Data, the Overseas Companies Ownership Data, and the Price Paid Data. Contains HM Land Registry data © Crown copyright and database right 2026. This data is licensed under the Open Government Licence v3.0. Address data within the Price Paid Data is subject to the rights of Royal Mail and Ordnance Survey and is displayed for the purpose of providing residential property price information. Price Paid Data covers registered residential transactions in England and Wales from 1 January 1995 and may not record every transaction affecting a property.

Insolvency event data is sourced from The Gazette, the UK's official public record of corporate insolvency. Recorded in The Gazette (London, Edinburgh and Belfast editions). Contains public sector information licensed under the Open Government Licence v3.0. A company may appear here on the basis of a Gazette notice before its status is updated at Companies House; verify the current position independently before acting.

2.2 No Advisory Service

Receiv-r is an information and intelligence tool only. Nothing on the platform constitutes legal, financial, investment, or professional advice. You are solely responsible for any decisions made based on information accessed through the platform. Always conduct your own due diligence.

2.3 Data Accuracy

While we take reasonable steps to ensure data accuracy, we cannot guarantee that all information is complete, current, or free from errors. Filing data depends on third-party submissions to public registers. You should verify any material information independently before acting on it.

3. Accounts and Registration

To access paid features you must create an account. You agree to:

• Provide accurate and complete registration information
• Keep your password secure and not share access credentials
• Notify us immediately at hello@receiv-r.co.uk if you suspect unauthorised access
• Be responsible for all activity that occurs under your account

We reserve the right to suspend or terminate accounts where we reasonably believe credentials are being shared or the platform is being misused.

4. Subscriptions, Pricing and Billing

4.1 Plans

Receiv-r offers the following subscription tiers:

• Free — limited access with delayed data (21+ days old) and a one-time allowance of company unlocks
• Prospect — monthly or annual subscription with live data and a monthly unlock allowance
• Acquisition — monthly or annual subscription with a larger unlock allowance and full feature access
• Portfolio — monthly or annual subscription for teams, with a shared unlock allowance and CSV export

Current pricing is displayed at www.receiv-r.co.uk/pricing and may be updated with 30 days' notice to existing subscribers.

4.2 Unlocks

Each paid plan includes a monthly allowance of company unlocks. An unlock gives you access to the full record for one company. Your allowance is replenished each month to your plan's level; unused unlocks do not accumulate above that level. The Free plan includes a one-time allowance of company unlocks; this allowance is not replenished. Additional unlocks purchased as top-ups do not expire and carry over until used. 4.3 Payment

All payments are processed securely by Stripe. By providing payment details you authorise us to charge your chosen payment method on a recurring basis. Receiv-r is not currently registered for VAT, so no VAT is charged and the price you see is the price you pay. Should we become VAT registered in future, we will notify you in advance and VAT may then be added where applicable.

4.4 Annual Plans

Annual subscriptions are billed upfront for 12 months. The annual price represents a discount equivalent to 15% compared to the monthly rate. Annual plans renew automatically unless cancelled before the renewal date.

4.5 Failed Payments

If a payment fails, we will attempt to retry using Stripe's Smart Retry system. If payment cannot be collected after reasonable retries, your account may be downgraded to the Free tier until payment is resolved.

5. Cancellation and Refunds

5.1 Cancellation

You may cancel your subscription at any time through your account portal or by contacting hello@receiv-r.co.uk. Cancellation takes effect at the end of your current billing period. You retain access to paid features until that date.

5.2 Refunds

We do not offer refunds for partial billing periods or unused unlocks, except where required by law. If you believe a charge has been made in error, contact us within 14 days at hello@receiv-r.co.uk and we will investigate.

5.3 Right to Cancel (Consumer Contracts)

If you are a consumer (not purchasing in the course of business), you have a 14-day right to cancel under the Consumer Contracts Regulations 2013. However, by accessing the platform and using the service, you expressly request immediate performance and acknowledge that your right to cancel may be lost once the service has been fully performed.

5.4 Termination by Us

We may terminate your subscription and account at any time for any reason by giving you notice by email. If we terminate other than for breach of these terms, we will refund you a pro-rata amount for the unused portion of your current billing period, which shall be your sole remedy.

6. Acceptable Use

You agree not to use Receiv-r to:

• Scrape, crawl, or systematically extract data beyond what the platform provides
• Resell, redistribute, or sublicense data to third parties without our written consent
• Use the platform to harass, stalk, or contact individuals in a manner that breaches applicable law
• Attempt to circumvent access controls, reverse engineer the platform, or introduce malicious code
• Use the AI outreach tool to generate misleading, deceptive, or fraudulent communications
• Violate any applicable law, including data protection, anti-spam, or financial regulations

Breach of these terms may result in immediate account suspension without refund.

7. Outreach and Communications

Receiv-r may provide tools that help you draft and send communications, including first-contact emails, to third parties. When you send a communication using these tools, you are the sender and you are solely responsible for it. You must ensure that each communication complies with all applicable laws, including UK data protection law and the Privacy and Electronic Communications Regulations (PECR), and that you have any consent or lawful basis required to contact the recipient. Receiv-r provides contact information drawn from public sources to help you identify relevant parties; it does not send communications on your behalf, and you are responsible for using that information lawfully.

You must not use data derived from HM Land Registry ownership datasets (CCOD/OCOD) surfaced through the platform for direct marketing to registered proprietors. This restriction is a condition of HM Land Registry's data licence and applies to your use of the service.

8. Intellectual Property

All intellectual property in the Receiv-r platform, including software, design, trade marks, and original content, is owned by or licensed to Receiv-r Ltd. You are granted a limited, non-exclusive, non-transferable licence to use the platform for your own business purposes during your subscription.

Data sourced from public registers (Companies House filings, etc.) remains subject to the terms of those registers. We do not claim ownership of underlying public data.

9. Limitation of Liability

To the maximum extent permitted by law:

• Receiv-r Ltd shall not be liable for any indirect, consequential, incidental, or special loss arising from use of the platform
• Our total liability to you in any 12-month period shall not exceed the total subscription fees paid by you in that period
• We are not liable for losses arising from reliance on inaccurate or incomplete filing data, missed opportunities, or decisions made based on platform information

Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or any other matter that cannot be excluded by law.

10. Availability and Changes

We aim to maintain platform availability but do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue any part of the service with reasonable notice where practicable.

We may update these Terms of Service from time to time. We will notify you of material changes by email. Continued use of the platform after changes take effect constitutes acceptance of the revised terms.

11. Governing Law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer based in Scotland or Northern Ireland, you may also have rights under the laws of your jurisdiction.
